Concerns relating to accounting, internal controls, auditing matters or other significant matters may be brought to the attention of the Chairman of the Audit Committee, or to the attention of the outside directors as a group, by either of the means indicated below. All such concerns will be addressed in accordance with procedures established by and under the direction of the Audit Committee or the Board of Directors, as appropriate.

The Company prohibits retaliation against any individual who provides information to the directors. Concerns may be submitted on a confidential basis. If requested, the Company will endeavor to maintain the confidentiality of submitted information, subject to the need to conduct an effective investigation and take appropriate action.
